These Terms of Service (“Terms”) govern your use of the Webbify Studio website located at webbifystudio.com (the “Site”) and any web design, development, SEO, maintenance, or related services (the “Services”) provided by Webbify Studio (“we,” “us,” or “our”).
By accessing our Site or engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services.
1. Services Overview
Webbify Studio provides web design, web development, search engine optimization (SEO), and ongoing website maintenance and support services for small businesses and individuals. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate written proposal or agreement provided before work begins.
2. Proposals and Agreements
Before starting any project, we will provide you with a written proposal outlining the scope of work, estimated timeline, deliverables, and pricing. Work will not begin until you have approved the proposal in writing (which may include email confirmation) and any required upfront payment has been received.
Any changes to the agreed scope of work after the project has begun may result in additional charges and timeline adjustments. We will communicate any changes and obtain your approval before proceeding.
3. Pricing and Payment
Project Fees
– All project fees are quoted in US dollars and outlined in your proposal or agreement.
– A deposit is required before work begins. The specific deposit amount will be stated in your proposal (typically 50% of the project total).
– The remaining balance is due upon project completion, before the final website is published or transferred to your hosting.
Monthly Care Plans
– Monthly care and maintenance plans are billed on a recurring monthly basis.
– Plans are billed monthly and can be cancelled at any time with 30 days’ written notice.
– If you cancel a monthly plan, your website will continue to function, but we will no longer provide updates, backups, security monitoring, or support services included in the plan.
Late Payments
– Invoices are due within 14 days of the invoice date unless otherwise agreed.
– We reserve the right to pause work on active projects if payment is more than 14 days overdue.
– A late fee of 1.5% per month may be applied to overdue invoices.
4. Client Responsibilities
To ensure the successful and timely completion of your project, you agree to:
– Provide all necessary content, images, branding materials, and information in a timely manner as requested.
– Provide timely feedback and approvals during the design and review process. Delays in client feedback may result in project timeline extensions.
– Provide accurate login credentials for any third-party accounts required for the project (hosting, domain registrar, email, etc.).
– Ensure that all content you provide to us is accurate, lawful, and does not infringe on any third-party intellectual property rights.
– Designate a single point of contact for project communication and approvals.
5. Intellectual Property and Ownership
Your Content
You retain full ownership of all content you provide to us, including text, images, logos, branding materials, and any other materials you supply for your project.
Website Ownership
Upon receipt of full payment, you will own your completed website, including the custom design, layout, and any original content we create for you. This includes:
– The custom website design and all pages
– All original written content created by us for your site
– Your domain name (which is registered in your name)
– Your hosting account (which is in your name)
Third-Party Assets
Your website may include third-party assets such as stock photos, fonts, plugins, themes, and open-source software. These assets are subject to their own respective licenses and terms. We will inform you of any third-party licenses that apply to your project.
Our Portfolio Rights
We reserve the right to display your completed website in our portfolio, on our website, in marketing materials, and on social media for promotional purposes. If you prefer that your website not be included in our portfolio, please let us know in writing before the project begins.
6. Design Process and Revisions
Design Process
Our typical design process includes:
1. Discovery call and project kickoff
2. Design mockup or wireframe presentation
3. Client review and feedback
4. Revisions based on feedback
5. Development and build
6. Final review and launch
Revisions
Your project includes a reasonable number of revisions during the design phase, as specified in your proposal. Revisions refer to modifications to the design concept that has been presented, not a complete redesign or change in project direction.
If additional revisions are requested beyond what is included in your proposal, we will notify you of any additional costs before proceeding.
7. Project Timeline
We will provide an estimated timeline for your project in your proposal. While we make every effort to meet estimated deadlines, actual timelines may vary based on:
– Timeliness of client feedback and content delivery
– Scope changes or additional revision requests
– Technical complexities discovered during development
– Third-party dependencies (hosting setup, domain transfers, etc.)
We are not liable for delays caused by circumstances outside our control, including but not limited to client delays, third-party service issues, or force majeure events.
8. Website Launch and Handoff
Before your website goes live, we will provide you with an opportunity for a final review. Once you approve the final version in writing (including email), we will publish the site.
After launch, any issues directly related to our work will be addressed promptly at no additional charge for a period of 30 days. Issues arising from third-party services, client modifications, or factors outside our control are not covered under this warranty.
9. Ongoing Maintenance and Support
If you subscribe to one of our monthly care plans, we will provide the services outlined in your selected plan. These services may include WordPress and plugin updates, security monitoring, backups, content changes, and support.
Monthly care plans are subject to the following terms:
– Services are provided on a monthly basis and do not roll over to the following month.
– Content change hours included in your plan are for minor updates and modifications, not major redesigns or new page builds.
– We reserve the right to adjust plan pricing with 30 days’ written notice. You may cancel if you do not agree to the new pricing.
10. Limitation of Liability
To the fullest extent permitted by law:
– Webbify Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our Site or Services.
– Our total liability for any claim arising from or related to our Services shall not exceed the total amount you paid to us for the specific service giving rise to the claim.
– We are not liable for any loss of data, revenue, profits, or business opportunities, whether direct or indirect.
– We are not responsible for any downtime, data loss, or security breaches caused by your hosting provider, domain registrar, or other third-party services.
11. Indemnification
You agree to indemnify, defend, and hold harmless Webbify Studio, its owner, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from:

– Your use of our Services
– Content you provide that infringes on third-party rights
– Any disputes between you and your customers or third parties related to your website
12. Termination
By You
You may terminate our services at any time by providing written notice. If you terminate a project before completion:
– Any work completed up to that point will be delivered to you.
– Payments made for completed work are non-refundable.
– Any outstanding balance for work already completed will be due immediately.
By Us
We reserve the right to terminate or suspend our services if:
– Payment is more than 30 days overdue.
– You breach these Terms or any project agreement.
– You engage in abusive, threatening, or harassing behavior toward us or our team.
– Continuing the project would require us to violate any law or regulation.
In the event of termination by us, we will provide you with all completed work up to that point and refund any prepaid fees for work not yet performed.
13. Warranties and Disclaimers
Our Warranty
We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. If any deliverable does not conform to the agreed specifications, we will correct it at no additional charge, provided you notify us within 30 days of delivery.
Disclaimers
– We do not guarantee specific results from our services, including but not limited to search engine rankings, website traffic, lead generation, or revenue increases.
– Our Site and Services are provided “as is” and “as available” without warranties of any kind, except as expressly stated in these Terms.
– We do not warrant that our Site will be uninterrupted, error-free, or free of viruses or other harmful components.
14. Use of Our Site
When using our Site, you agree not to:
– Use the Site for any unlawful purpose or in violation of any applicable law.
– Attempt to gain unauthorized access to any part of the Site or its systems.
– Interfere with or disrupt the Site or the servers and networks connected to it.

These Terms, together with any project proposal or agreement, constitute the entire agreement between you and Webbify Studio regarding the subject matter herein and supersede all prior agreements, understandings, and communications, whether written or oral.
18. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the “Last updated” date at the top of this page. For active clients, we will provide notice of material changes via email. Continued use of our Site or Services after changes are posted constitutes acceptance of the updated Terms.
